Business in Bangladesh

A Sole Proprietorship normally starts with a Trade License from the relevant City Corporation, Municipality or Union Parishad and an e-TIN from the National Board of Revenue (NBR). No separate RJSC incorporation process is evidenced for a sole proprietorship. A Partnership Firm can be registered with the Registrar of Joint Stock Companies and Firms (RJSC) under the Partnership Act 1932. A Private Limited Company, Public Limited Company or One Person Company (OPC) generally uses Name Clearance where applicable, a Memorandum of Association, Articles of Association, prescribed forms and fees, followed by RJSC incorporation. A foreign company, branch, liaison office or representative office may need both RJSC registration and permission from Invest Bangladesh, depending on its structure and activity. BanglaBiz is a unified gateway for business services. Its Business Starter Package combines Name Clearance, a Temporary Bank Account, Company Incorporation, e-TIN and Trade License applications. The portal claims processing in fewer than three working days for this package, but that is not an approval guarantee. Its Know Your Approvals function creates an activity-specific checklist; more than 20 further approvals may be relevant, including VAT, environmental, fire, factory, import and export approvals. In August 2026, the investment facilitation system was transitioning to Invest Bangladesh, the successor to BIDA, BEZA and PPPA under the Prime Minister's Office. The Trade License is issued by the local authority for the business premises, renewed annually and treated as personal and non-transferable under government guidance. Required documents, fees, inspections and processing times depend on the authority, business activity and premises. An e-TIN is a 12-digit NBR tax identification number. A BIN is a 9-digit Business Identification Number used for VAT administration. NBR states that turnover above BDT 3,000,000 requires Turnover Tax Enlistment and turnover above BDT 8,000,000 requires VAT Registration; the application is due within 15 days after liability arises. Relevant NBR forms include VAT-2.1, VAT-2.2 and VAT-2.3 for registration or enlistment, VAT-2.6 for changes and VAT-2.7 for a change of place. Current NBR notices should be checked before relying on these thresholds. The required operating permits depend on the activity, location, scale and premises. The Department of Environment may require an Environmental Clearance Certificate, and Fire Service and Civil Defence may require an e-Fire License or e-safety approval. BSTI or another sector regulator may apply to specific products or activities. Import and export businesses may need an Import Registration Certificate or Export Registration Certificate from the Chief Controller of Imports and Exports (CCI&E). Trademarks, inventions, designs and geographical indications are handled through the Department of Patents, Designs and Trademarks (DPDT). During operation, the business should keep tax and VAT records, issue invoices and submit returns and payments when applicable. Registered companies must also submit RJSC annual and change returns. Schedule X is due within 21 days after the annual general meeting, the balance sheet and profit-and-loss statement within 30 days after the meeting, Form XII for director changes within 14 days, Form XV for share allotments within 60 days and Form VI for a registered-office change within 28 days. Late fees and other non-compliance consequences can arise. By February 2026, RJSC reported 225,454 Private Limited Companies, 62,617 Partnership Firms and 1,088 OPCs, with 311,831 registrations across all entity types. These figures show the scale of formal registration options but do not measure all businesses in Bangladesh, including informal activity. For growth, the SME Foundation offers business-plan, training, market, technology, finance and regulatory guidance through its Advisory and Business Development Services, while WEHelp supports women entrepreneurs. Bangladesh Bank CMSME and startup refinance policies are generally delivered through banks or financial institutions and do not create an automatic entitlement. Startup Bangladesh Ltd. may consider Bangladesh-registered high-growth or social-impact startups for equity, quasi-equity or grant support after due diligence and investment-committee or board review. A company share transfer requires Form 117 and the relevant corporate approvals and records. Changes to ownership, directors or the company constitution may require further RJSC filings. A Partnership Firm constitution change uses Form V. A sole-proprietor Trade License cannot simply be transferred; a successor needs fresh local formalization. A business or asset sale also requires contractual, tax, permit and due-diligence checks. Bangladesh has no standalone national business-succession or transfer portal identified in the reviewed official sources. Closing a company can involve voluntary or court winding-up under the Companies Act 1994, a liquidator, a final meeting and dissolution filings. RJSC may strike off an inactive company. A Partnership Firm dissolution uses Form VI. VAT cancellation uses VAT-2.4 and a final VAT-2.5 return; NBR states that revocation can occur within 15 days after the final return when the requirements are satisfied. Income tax cancellation may apply when an entity ceases or dissolves. The Trade License and sector permits must be settled or cancelled separately because registration does not automatically end tax, VAT or licensing obligations.
