Business in Estonia

Business means offering goods or services in an organized way and accepting financial risk. In Estonia, a business is commonly called an “ettevõte,” and an entrepreneur is an “ettevõtja.” A person should choose a structure that matches ownership, risk, funding, and administration. The private limited company, or “osaühing” and usually OÜ, is a common company form. It is a separate legal person owned by shareholders and managed through its appointed bodies. Separation from the owners does not excuse managers from acting lawfully and carefully. A sole proprietor is called a “füüsilisest isikust ettevõtja,” or FIE. This form connects the business more directly to the individual. It may be straightforward for some small activities, but personal responsibility and tax treatment need careful consideration. Other forms include public limited companies, partnerships, nonprofit associations, and foundations. They serve different purposes and governance needs. A nonprofit form is not simply a company without profit; it must follow its own purpose and distribution rules. Estonian business administration is strongly digital. Registration information, annual reporting, and many official interactions can be handled electronically. E-residency may provide digital access for eligible people, but it is not citizenship, residence permission, or automatic tax residence. A business must organize accounting and keep reliable supporting documents. It must also understand taxes, invoicing, contracts, employment responsibilities, and any sector-specific permissions. Registration does not prove that every planned activity is permitted. Directors and owners should keep personal and business affairs clearly separated. Written decisions, contracts, invoices, bank records, and proof of expenses create accountability. Professional accounting or legal help can be valuable even for a small digital business. A sound first step is to test the customer problem before building a complex structure. The founder should then choose the legal form, ownership, name, activities, management, accounting method, and banking arrangements. Regular review is necessary as the business hires people or enters new markets.
