Business in Eswatini

More than 70% of Eswatini's MSMEs, meaning micro, small and medium-sized enterprises, are reported as informal. Informal trading remains significant, but formalisation can support access to tenders, finance, larger customers and foreign investment. National rules generally apply across Eswatini, with no evidenced administrative differences between regions or cities in the available research. A business can operate as a sole trader, partnership, cooperative, private company, public company, non-profit association or informal trader. A company normally starts with a name search or reservation, preparation of the Memorandum and Articles of Association and a Declaration of Compliance, incorporation with the Registrar of Companies, filing Form J within 21 days and obtaining a trading licence. The online.gov.sz service provides applications for company name searches, reservations, registration and trading or liquor licences. Current official guidance is not fully consistent: one Registrar page gives incorporation fees of E625 for nominal capital up to E10,000, E925 up to E30,000, E1,300 up to E50,000 and E1,825 above E50,000, while another government page lists a E20 name-reservation fee and different processing times. Check the current fee, forms, processing time and whether legal-practitioner assistance is required with the Registrar before paying. The Ministry of Commerce, Industry & Trade Commerce Department handles trading licences. The process can include an application, a public notice within three days and licence issue nominally within another three days, with a E50 advertising fee. Requirements vary between urban premises, private farms and Swazi Nation Land (SNL). Company applications commonly require a lease or title deed, bank statement, director identification and citizenship documents, graded tax evidence, Certificate of Incorporation, Memorandum and Articles of Association, Form J and Form C. A farm or private-property application may also need a health report and ministerial authority. On SNL, the application may require King's Consent or a recommendation from Swazi Commercial Amadoda. The published guidance limits that consent to indigenous Swazis and wholly indigenous-Swazi-owned companies. Some informal activities are listed as exempt from the advertising and approval-letter step, including barbering, cobbling, livestock or farm-produce dealing, breakdown services, hawking, pedalling, produce or handwork vending, vendor carts, shoe repair, blacksmithing or farriery, mobile-phone spaza businesses and car washing. A company or sole trader normally needs a taxpayer identification number from the Eswatini Revenue Service (ERS). The application can require incorporation documents or Form J, identification, bank and address evidence and a trading licence; the stated ERS outcome target is up to 30 days. Every company files an annual income-tax return, including a registered company that has not started operating, and must notify ERS in writing about its status. Value-added tax (VAT) becomes compulsory when taxable turnover exceeds E900,000. A business below that threshold may apply voluntarily if it meets the requirements. A VAT-registered business must display its certificate, charge VAT, issue tax invoices, keep records in Eswatini and submit returns and payments on schedule. Presumptive Tax has applied from 1 July 2024 to natural persons and companies with turnover below E500,000. Registration is due before the tax year or within two months after starting the business. The usual supporting evidence includes identification or incorporation and Form J, a trading licence and bank or address proof. Basic records can consist of a cashbook or notebook, daily sales or service records, a fixed-asset register or spreadsheet. Estimated provisional tax is paid in four instalments and followed by an annual return. Cooperatives provide a group-business alternative. Registration through a regional cooperative office normally requires three copies of the by-laws, an application, business plan and cash-flow statement, financial information, a feasibility or economic survey, an application letter, the E110 application fee and signatures from at least seven qualifying members. SEDCO, the government-owned Small Enterprises Development Company under MCIT, supports aspiring and operating MSMEs with entrepreneurship training, business-plan development, counselling, bookkeeping, tax-return support, costing and pricing, tendering, legal facilitation, company registration, trading licences, market facilitation and incubation. Its programmes include a two-week entrepreneurship course, one-week idea evaluation, one-week business-plan training, a three-year incubation programme, subsidised premises, six-month capacity plans and post-incubation monitoring for up to three years. SEDCO operates nine estates across four regions with units of about 25 to 120 square metres. Listed training fees range from E615 to E1,256 for three to five days. The SIMAMA distance course is listed at 30 days with a fee of E920 and a promotional fee of E700. Enrolment, payment, suitable equipment for online training and, for funding links, business appraisal may apply. Funding is not automatic. The Central Bank of Eswatini administers the Small-Scale Enterprise Loan Guarantee Scheme and the Export Credit Guarantee Scheme, but participating lenders provide the loans. Under the small-enterprise scheme, the maximum loan is E1,000,000, with a 95% guarantee and 5% contribution for start-ups and an 85% guarantee and 15% contribution for existing businesses. Swati youth aged 18 to 35 may receive a 98% guarantee and 2% contribution for start-ups or a 95% guarantee and 5% contribution for existing businesses. The export scheme provides a 90% guarantee up to E3,300,000, with exporters contributing 10% security. IDCE finances registered businesses and sole traders where the project is viable and managed and the borrower provides collateral at least equal to the loan. Its indicative processing times range from two weeks for E10,000 to E500,000, to three weeks for E500,000 to E10,000,000 and two months above E10,000,000; the published interest range is 15% to 20%. FINCORP offers citizen-oriented start-up and expansion finance across Nation Land and Title Deed Land, subject to lender appraisal, records and security. Tender assistance through SEDCO normally requires a registered business, current company documents, licences, tax compliance, a company profile and tender-specific costing. EIPA can facilitate company registration, trading licences, investor support and export readiness. Its investment process may require three proposed names, company objects, physical and postal addresses, shareholding details, certified passports for directors and shareholders, government fees and vetting. Foreign investors may also need business or work permits; EIPA states five working days for company directors and two working days for expatriate workers in the relevant applications, subject to the applicable process and approvals. While operating, a company maintains company, tax and accounting records, files changes through Form J within 21 days, submits the annual return Form C and fee between 1 July and 31 August, renews the trading licence and pays the annual company licence under TF42. Public companies and non-profit associations lodge audited annual financial statements. When operations stop, VAT cancellation requires written notification after taxable supplies cease or the threshold is no longer met. Income-tax filing and notification duties continue until ERS accepts the business closure. Removal or liquidation of a company is handled through the Registrar under the applicable Companies Act. A later Companies Bill and Gazette contain proposed removal and liquidation rules, but their enactment status is unconfirmed, so the current Registrar or qualified legal adviser should confirm the closure procedure.
