Formal business formation in Honduras begins with the business model, location and legal form. The online portal (Mi Empresa en Línea) supports formation as an individual trader (Comerciante Individual) or legal entity (Persona Jurídica), including a limited liability company (Sociedad de Responsabilidad Limitada) or corporation (Sociedad Anónima). After the required documents are submitted to the national entrepreneurship contact point (SENPRENDE) and the Property Institute (Instituto de la Propiedad), a Certificate of Incorporation (Certificado de Constitución) and, for a company, the articles of association may be issued. Depending on the case, a DNI, passport or residence permit, an incorporation document, proof of address, a power of attorney (Carta Poder), and proof from ENEE or SANAA may be required. The exact document list depends on the procedure and the planned activity. For tax registration, the business applies to SAR for the RTN, the National Taxpayer Registry (Registro Tributario Nacional). The RTN distinguishes, among others, between Persona Natural, Comerciante Individual and Persona Jurídica. The initial registration is stated to be free of charge and issued immediately. An establishment (Establecimiento), branch (Sucursal) or agency (Agencia) must also be registered. National registration does not replace a municipal operating permit. The responsible municipal authority (Alcaldía) issues the Business Operation Permit (Permiso de Operación de Negocio) for the relevant location. It may concern the opening, annual renewal, change of details, or temporary or permanent closure. Fees, deadlines and required documents differ by municipality. The use of the premises and the lease or use agreement may also be reviewed. Requirements in one municipal jurisdiction therefore must not automatically be treated as a national standard. Depending on the activity, specialist permits may be added. The health authority (ARSA) issues a health license (Licencia Sanitaria), particularly for food and beverage businesses as well as pharmaceutical and other health-related businesses. An incorporation document, site plan, distribution plans and a technical responsible person may be required. The license may be valid for two, four or six years. The fee depends on the specific service. Construction, environmental or other specialist permits apply only to activities for which they are supported by the relevant requirements. When selling goods or services, the SAR rules on invoicing (Facturación) apply. Depending on the transaction, the business issues an invoice (Factura), ticket (Ticket) or professional-fee receipt (Recibo por Honorarios). Income tax (ISR) is declared annually; the stated deadline ends on 30 April. The ISV return is generally filed regularly, depending on the tax obligation. For the Simplified ISV Regime (Régimen Simplificado ISV), an annual sales return by 31 January is предусмотрена. Withholding and other returns depend on the activity and tax status. SENPRENDE is a national contact point for entrepreneurship, MIPYME and Social Economy Sector Enterprises (Empresa del Sector Social de la Economía). Its services range from diagnostics, Canvas and business plans to advice and formalization, digital transformation, market access, trade fairs, networking and financing referrals. The online shop (Comercia.hn) allows an entrepreneur, MIPYME or ESSE to create a shop after registration. Identity documentation and the RTN are checked, among other things. A trademark can be registered with the Instituto de la Propiedad, but this does not automatically protect the business or tax registration. Total costs and duration depend on the legal form, municipality, activity, documents and individual fees. There is no single nationwide total amount or uniform start deadline for business formation. For employees, individual questions move into employment, labor-law and social-security areas and are not part of the details of business formation. During a business pause or closure, municipal deregistration and, with SAR, the Closure of Establishment (Cierre de Establecimiento) and cancellation (Baja) of individual tax obligations become relevant. Outstanding returns and debts should be clarified beforehand. A company does not end merely by stopping sales. It requires dissolution (Disolución), liquidation (Liquidación) and an update of the registry entry.
Business in Honduras
A business in Honduras is formally established through several authorities. SENPRENDE, Instituto de la Propiedad, SAR, Registro Mercantil, Cámara de Comercio and the responsible Alcaldía have different roles. Depending on the plan, the legal form may be Comerciante Individual or Persona Jurídica, such as Sociedad de Responsabilidad Limitada or Sociedad Anónima. To operate, the business needs, among other things, an RTN, the municipal Permiso de Operación de Negocio and, depending on the activity, further permits.
