Civil law in Vietnam

Civil law in Vietnam mainly organizes legal relationships between private persons, companies, and other organizations. The central framework is the Civil Code, commonly called Bộ luật Dân sự, together with special rules for subjects such as land, housing, family, commerce, and intellectual property. Contracts create duties when the parties agree on a lawful subject with sufficient clarity. Important terms include the parties, object, price, time, delivery, payment, quality, responsibility for delay, and the way to end or change the agreement. Civil law also covers property, possession, ownership, loans, deposits, guarantees, representation, and compensation for harm. Land and housing rights are especially important in Vietnam and are affected by specialized legislation and administrative records. When one side fails to perform, possible responses can include performance, repair, replacement, cancellation, return of money, interest, compensation, or another remedy recognized by the agreement or law. The correct remedy depends on the facts and on what loss can be proved. A civil dispute may begin with direct negotiation or a formal demand. Mediation can help when the parties want a practical settlement. If no agreement is reached, a People's Court may decide the claim, subject to procedural requirements and evidence. Evidence often includes the signed contract, identity and authority documents, payment records, delivery records, photographs, messages, witness information, and expert or repair reports. A verbal promise can matter, but it is harder to prove than a clear written record. Civil law has boundaries. A dispute may instead involve labor, family, criminal, administrative, consumer, land, or commercial rules, and different procedures may apply. Identify the legal relationship first, then preserve evidence and choose the appropriate path.
